Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Nexus Bridge ("Company," "we," "us," or "our") governing your access to and use of our talent representation services, website, and related platforms.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our services.

Description of Services

Nexus Bridge provides talent representation services that connect professional communicators ("Representatives") with senior software engineers ("Developers") for interview representation purposes. Our services include:

• Matching Representatives with verified Developer profiles
• Providing training and support for interview representation
• Technical interview support and assistance
• Commission-based compensation management
• Profile verification and documentation services

Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using our services under applicable law
• Provide accurate, current, and complete information during registration
• Meet our qualification requirements for Representatives or Developers

Terms for Representatives

As a Representative, you agree to:

• Accurately and professionally represent assigned Developer profiles
• Maintain strict confidentiality regarding all profile information
• Participate in required training and ongoing education
• Communicate promptly and professionally with recruiters and hiring managers
• Coordinate with our technical team during technical interviews
• Report all interview activities accurately and timely
• Adhere to our ethical guidelines and code of conduct
• Not engage in any fraudulent, deceptive, or misleading practices

Commission Structure

Representatives are eligible for commission payments based on successful placements:

• Commission rate: 50% of the Developer's monthly salary
• Payments processed monthly for active placements
• Commission continues for the duration of the Developer's employment
• Payment subject to verification of continued employment
• Tax documentation (W-9/W-8BEN) required for payments

Terms for Developers

As a Developer participating in our representation program, you agree to:

• Provide accurate and truthful information about your background and experience
• Authorize our Representatives to act on your behalf during interviews
• Participate in profile documentation and verification processes
• Be available for briefings and coordination as needed
• Honor offers secured through our representation services
• Maintain confidentiality regarding our processes and methods
• Comply with employment obligations once placed

Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Providing false, inaccurate, or misleading information
• Impersonating any person or entity without authorization
• Disclosing confidential information to unauthorized parties
• Using our services for any illegal or unauthorized purpose
• Interfering with or disrupting our services or systems
• Attempting to circumvent our commission or payment structures
• Engaging with clients directly to bypass our services
• Sharing login credentials or account access with others
• Recording, copying, or distributing proprietary training materials
• Disparaging our company, services, or other participants

Intellectual Property

All content, features, and functionality of our services, including but not limited to:

• Training materials and methodologies
• Software, algorithms, and technical processes
• Website design, text, graphics, and logos
• Proprietary business processes and workflows

Are owned by Nexus Bridge and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use our services for their intended purpose only.

Confidentiality

Confidentiality is fundamental to our services. You agree to:

• Keep all Developer profile information strictly confidential
• Not disclose our business methods, processes, or strategies
• Protect any proprietary information shared during your engagement
• Use confidential information only for authorized purposes
• Return or destroy confidential materials upon request or termination

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our services are provided "as is" without warranties of any kind
• We do not guarantee placement success or specific income levels
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid to you in the preceding 12 months
• We are not responsible for actions of third parties, including employers

Some jurisdictions do not allow limitations on implied warranties or liability, so some limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Nexus Bridge, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your violation of these Terms, your use of our services, or your violation of any rights of third parties.

Termination

Either party may terminate this agreement:

• With 30 days written notice for any reason
• Immediately upon material breach of these Terms
• Immediately if required by law or regulation

Upon termination, your access to our services will cease, but confidentiality obligations and any accrued payment obligations will survive.

Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved as follows:

• Informal Resolution: Parties shall first attempt to resolve disputes through good-faith negotiation
• Mediation: If negotiation fails, parties agree to non-binding mediation
• Arbitration: Unresolved disputes shall be settled by binding arbitration
• Governing Law: These Terms are governed by the laws of Delaware, USA

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through our platform. Continued use of our services after changes constitutes acceptance of the modified Terms. If you disagree with changes, you may terminate your participation as described above.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
